Veriswap Terms and Conditions of Use

These are the terms and conditions of use for https://veriswap.com/ ("Site"). The Site is operated by Veriswap Inc. (“Veriswap,” “we,” “us”, or “our”) and is a live marketplace that allows users to research and trade consumer goods. These Terms and Conditions of Use, our Marketplace FAQs (the “FAQS”), and all other requirements posted on our websites, all of which are incorporated into these Terms and Conditions of Use by reference and as amended from time to time (collectively, “Terms”) describe the terms and conditions on which we provide our websites (the “Sites”), services, data, software, applications (including mobile applications) and tools (collectively “Services”) to you, whether as a guest or a registered user.

In these Terms, “you” and “your” refer to (a) you, the individual accessing and/or using the Services, (b) any electronic agent accessing the Sites and/or using the Services on behalf of an individual or business entity, and (c) the business entity on whose behalf an individual or electronic agent is accessing the Sites and/or using the Services. Your use of the Sites and Services will be subject to these Terms and by using them you agree to be bound by them. These Terms create a legal contract between you and us. Please read them carefully. We will collect and process personal data in accordance with our privacy policy.

By using our Sites and Services, or by clicking to accept these Terms, you accept and agree to be bound and abide by these Terms in full. If you do not agree to these Terms, do not use our Sites or any portion of the Services. For all purposes, the English version of the Terms shall be the original, binding instrument and understanding of the parties. In the event of any conflict between the English version of the Terms and any translation into any other language, the English version shall prevail and control.

1. Changes to Terms and Policies.

Veriswap may in our discretion change these Terms (including the FAQs or any policy) at any time. We will either place a notice on our site, email, or notify you by some other means. Changes take effect on the date set out in the Terms. You should view these Terms often to stay informed of any changes that may affect you. YOUR CONTINUED USE OF THE SITE AND/OR SERVICES AFTER WE CHANGE THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY OF THE CHANGES, YOU MUST CANCEL YOUR ACCOUNT AND NOT USE ANY PORTION OF THE SERVICES.

The version of these Terms posted on our Sites on each respective date you visit the Sites will be the Terms applicable to your access and use of the Services on that date. Our electronically or otherwise properly stored copies of these Terms and the Privacy Policy shall be deemed to be the true, complete, valid, and authentic copies of the version of the Terms and the Privacy Policy that were in force on each respective date you visited the Sites. We reserve the right to terminate these Terms, or to refuse, restrict, or discontinue access to or use of the Services (or any portions, components, or features thereof) to you or any other person or entity, if you are in breach of the Terms or for any reason, at any time, without notice or liability. This includes but is not limited to false or fraudulent information provided at sign up or at any point during your use of our Sites and/or Services.

In cases where you are not in breach of the Terms, we will provide you with notice before terminating your access to the services.

2. About the Veriswap Marketplace.

The Site and Services are intended for use only by persons who are at least 18 years of age. By using the Site and Services you confirm that you meet this requirement and that, if you are under the age of 18, you have received permission from your parent or guardian before using the Site and Services.

Veriswap allows third party traders to list and trade their products in a live marketplace on the Site and Services. Traders' products will be made available on all of our Sites and mobile applications. Traders must create an account to transact on the Veriswap platform. Traders can delete or deactivate their account by following the options available on our FAQ page, as updated from time to time. A further description of the live marketplace process and the rules applicable to Traders is available on our FAQ page, as updated from time to time. While Veriswap as the platform provider helps facilitate transactions that are carried out on the Veriswap platform, Veriswap is neither the trader nor the owner of the trader's products. Veriswap provides a venue for Traders to negotiate and complete transactions. Accordingly, the contract formed at the completion of a transaction for these third party products is solely between users. Although Veriswap might provide historical pricing data to the trader and trader, we do not set prices for the items and Veriswap is not an auctioneer.

Because traders set prices, they may be higher than the retail value of the products. Any item valuations displayed through the Services are estimates only. Veriswap does not guarantee that any item will be traded at the listed price. Veriswap reserves the right to investigate complaints and violations of these Terms and, to the extent permitted by applicable law, may take any actions we deem appropriate, including suspending a trader or trader account and charging your payment method for costs we incur as a result of the violation. Although the Services are anonymous and we generally do not share your information with other Traders, we may share your information with law enforcement and professional advisers under an obligation of confidentiality as part of an investigation related to any alleged violation of law or these Terms in accordance with our Privacy Policy, and we may respond to all inquiries initiated by law enforcement or other governmental agencies. Additionally, Veriswap is absolved of liability for stolen property. This means that Veriswap isn't responsible for any items listed on its platform that are allegedly stolen or unlawfully acquired, either before or after the transaction.

3. Accounts, Passwords, and Security.

To view or browse the live marketplace, you must create an account using Facebook, Google, or Apple authentication. You must create an account and have a valid credit card or other approved payment method on file with our third-party payment processors. You agree that we may charge your credit card or other payment method for amounts you owe as described in these terms, as well as any costs or losses arising from your violation of the Terms. When you register to create an account with us, you agree to provide accurate information about yourself and must not register under a false name or age or use an unauthorized payment method. If you use any Service, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You agree to notify Veriswap immediately upon learning of any unauthorized use of your account or password, or any other unauthorized access or breach of security. However, you may be held liable for losses incurred by Veriswap or any other person or entity due to another person using your account or password. You may not use any other user’s account or password at any time without the express permission and consent of the holder of that account or password. You may not transfer or assign your account.

4. Fees, Promotional/Discount Codes and Taxes.

Fees for the Services, including applicable shipping fees, are described in our FAQ, as updated from time to time. Veriswap may sometimes furnish an alphanumeric code that can be used for promotions or discounts for purchases on our sites. These promotional or discount codes may be sent via email to our registered users, presented on our Sites or circulated at events and through other means and, are subject to applicable promotional or discount terms. As a trader you are responsible and agree to collect, pay, report and remit any and all local, state, provincial, federal, or international taxes (including VAT and sales tax) that may be due by you with respect to your sales transaction, and as a trader you agree to pay any and all local, state, federal, or international taxes (including sales taxes) that may be due by you with respect to your purchase transaction. You agree that Veriswap is not responsible for reporting, collection or payment of any taxes on your behalf except for jurisdictions where Veriswap is required as a marketplace facilitator. In accordance with the Privacy Policy and only to the extent necessary to complete a transaction, you agree to provide Veriswap with all relevant tax information which Veriswap may provide to any tax authority in connection with payments you receive from us and where applicable further authorize Veriswap to release that information to such tax authority or other competent governmental body. Your account may be suspended for failure to provide Veriswap with all relevant tax information to support filings to the appropriate tax authority.

5. Authentication; Shipping and Handling.

Veriswap does not authenticate cards that are transacted through our platform. Authentication is at the discretion of PSA, BGS, SGC, CGC, and CSG grading companies. Veriswap will inspect slabs to the best of our ability, but is not responsible for counterfeit slabs. Veriswap is also not responsible for damaged slabs and patch authenticity. Additionally, Veriswap's verification process does not include verifying whether or not cards are properly labeled by grading companies. Therefore, Veriswap is not financially responsible for any mislabeling of slabs. Further details are in the FAQ.

6. Trader Obligations.

By accepting an offer, you are making a binding offer to trade that specific item to a trader and to ship the item in accordance with our FAQ as updated from time to time. When a trader accepts your offer, you are contractually and legally bound to deliver that exact item for the specified price. Traders must ship items via the shipping carrier designated by Veriswap within the specified timeframe provided in the sale confirmation email and must obtain a receipt from the shipping carrier to verify shipment of item. Traders must ship an item sold on our Sites from the country listed as your address on file (e.g., if your address on file is located in the United States, you cannot use the shipping label provided to you to ship the item from Canada). You are obligated to monitor your inventory and ensure all listings are accurate. Failure to fulfill your orders will result in additional charges to you, including a minimum of $200 USD, or an amount up to 80% of the transaction amount (where transaction amount is defined as the sum of the fair market value of the cards involved in the transaction), in Veriswap’s sole discretion. If a trader fails to deliver items to Veriswap in accordance with these Terms, Veriswap reserves the right to do any or all of the following, in its sole discretion: (i) charge trader’s payment method a minimum of $200.00 USD or an amount up to 80% of the transaction value, in Veriswap's sole discretion, as a service fee; (ii) remove any or all of trader’s listings from the Services; (iii) cancel any or all of trader’s offers pending through the Services; (iv) withhold any payments or cards due to trader on future trades until any disputes are resolved. Definition of dispute being at Veriswap's discretion; (v) retain trader's initial transaction fees, including charging trader for the cost of a replacement, coupons and gift certificates provided to the trader, reprinting fees incurred by Veriswap, rerouting charges imposed by carriers, and refunds to the trader; (vi) temporarily or permanently suspend trader’s account (vii) charge users penalties for trading counterfeit cards. Additionally, by definition, there is no scenario where both users agree to cancel a trade. Veriswap defines the “flaker” as the party who does not pay the Veriswap trade fee. Even if both parties agree that the deal is to be canceled, Veriswap reserves the right to charge the “flaker” the penalty. If both parties have paid the fee, the “flaker” is defined as the party who refuses to ship the package. Additionally, if a trader disputes a fee/penalty payment with their credit card/bank, Veriswap reserves the right to hold the trader's products until the disputes have been settled. In the case where user A sends user B cash in the transaction and user A flakes, User A has 7 days to open a credit card dispute to recoup the funds. If more than 7 days has passed after the transaction cancellation, Veriswap reserves the right to take the penalty amount from the cash transfer.

7. Refund & Cancellation Policy

If a user does not agree to a charge placed on his or her credit card, the user has 7 days to contact Veriswap or open a credit card dispute. If a dispute is not opened within 7 days, the payment will not be returned in accordance with our terms and conditions.

Additionally, Veriswap does not offer refunds for any charges related to cancellations, including penalties incurred due to non-compliance with our terms and conditions. This policy is in place because such penalties are considered violations of the agreed-upon terms and conditions of our service. As a result, these charges are non-refundable, as they are a consequence of not adhering to the established guidelines and policies.

8. Commonly Disputed Scenarios

This section is designed to outline commonly disputed scenarios and address potential ambiguities. In case of a dispute, the details provided here will be submitted to credit card companies or relevant financial institutions as evidence that all terms were clarified before the transaction occurred.

1. Non-Refundability of Cancellation Penalties: If you, as a user, do not ship the item as agreed, Veriswap will not refund any penalties you might incur. In other words, if you fail to send out the item, you won't get any money back from us for penalties related to that failure. The penalty amount is the greater of $200 or 80% of the total value of the cards involved in the trade. The $200 penalty is charged in two portions: $50 and $150.

2. Non-Refundable Cash Transfers: If there’s a situation where an item is not shipped, any cash that was sent between users is non-refundable. This means that if a transaction goes through but the item is not shipped, Veriswap will not be able to return any of the funds that were committed, and the cash transfer amount is non-disputable.

3. Opening a dispute on Delivered Goods: Once an item is signed for and delivered, Veriswap is no longer responsible for it. If any issues arise after delivery, Veriswap is not liable. Any disputes or claims about the item after it has been signed for and delivered will not be considered valid.

Any disputes arising out of or related to these terms will be resolved through mediation if possible, otherwise through binding arbitration in accordance with the rules of the American Arbitration Association.

9. Vault Services

In addition to offering trading technology, Veriswap operates a physical vault for its users where users can store and trade their collectibles. The Terms and Conditions below govern the vaulting component of Veriswap’s business.

Please note that the Terms of Use include a mandatory arbitration provision, which requires that any past, pending, or future disputes between you and us shall be resolved by final and binding arbitration on an individual basis, based solely on your or our own alleged losses and not on a class-wide, collective, representative, qui tam, private attorney general, or consolidated basis. Agreeing to Veriswap’s Terms of Use include agreeing to Veriswap’s mandatory arbitration provision. Veriswap will intake, store, secure, outtake, and ship Assets that Users deliver to Veriswap or purchase on the Veriswap Platform. All Users must ship their Assets to the Vault Services in accordance with the Veriswap Shipping Guidelines. Veriswap insurance is only responsible if the item is lost in transit, and not if the item is not packaged properly and arrives damaged. The date an Asset is stored in Veriswap’s vault is referred to as the “Intake Date,” while the date an Asset is physically redeemed from the vault, as directed by a Customer or their authorized agent in writing, is called the “Outtake Date.”

Users confirm they are the legal owners of the sports cards they deposit in the vault and have the right to transfer ownership. Veriswap is not responsible for any cards that are claimed to be a result of theft. They are responsible for providing accurate information regarding their sports cards, including condition, value, and any relevant details. Veriswap will verify the your Asset promptly around the Intake Date by comparing the Asset’s serial number with the Third-Party Authentication you specified when creating a Listing. If your Asset is determined to be not as described, we will notify you during the verification process. If you dispute the authenticity, we may hold the Asset in our vault while we work to resolve the issue, or, at your request, we can return the Asset to you. All Assets under authenticity dispute will be held in our vaults for a maximum of 6 months before being returned to you in accordance with the Fee Policy.

Vaulted transactions result in an instant ownership transfer. Therefore, all transactions conducted through the Veriswap platform are considered final and binding once both parties have agreed to the terms of the trade. This means that once a transaction is confirmed and agreed upon, it cannot be reversed or altered, and both parties are expected to honor the terms of the agreement. Users acknowledge that there are no refunds or exchanges after a transaction has been completed, and it is the responsibility of both parties to thoroughly review and confirm the details of the transaction prior to agreement. Veriswap is not liable for any disputes arising from misunderstandings or mistakes made during this process.

Veriswap may charge fees for the use of its vault services, which will be clearly stated on the platform. You agree to pay all applicable fees associated with your use of the vault. Additionally, Veriswap reserves the right to retain or take ownership of any sports cards in the vault as payment for fees or cards owed or as compensation for damages incurred due to a breach of these Terms. Such fees include, but are not limited to, late shipment penalties, non-shipment penalties, and penalties from attempting to trade counterfeit goods.

Veriswap takes the security of sports cards seriously and stores them in a state-of-the art, temperature-controlled facility; however, we cannot guarantee the perfection of our measures. By using the vault, you agree that Veriswap shall not be liable for any loss, damage, or theft of sports cards stored in the vault, whether due to negligence, breach of contract, or any other reason. You acknowledge that any valuation of your sports cards is subjective and that Veriswap is not liable for fluctuations in market value. “Market value” is determined solely, and definitively by Veriswap valuation team. Veriswap will also maintain an insurance policy for the vault, providing coverage sufficient to protect the User’s currently vaulted Assets up to their aggregated market value. In the event of an insurance claim, Veriswap will pay out the lesser of market value at the time of loss or the user’s declared value.

Additionally, you also agree to indemnify, defend, and hold harmless Veriswap, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from your use of the vault, including but not limited to:

A. Your breach of these Terms.


B. Your violation of any applicable laws.


C. Any claims by third parties related to your sports cards.

10. Disclaimer of Warranties and Limitation of Liability

The marketplace is provided “as is” and “as available,” without any warranties of any kind, either express or implied. Veriswap’s liability is limited only to transactions that have occurred within the past 30 Days.
